Terms of Service

1. Acceptance of Terms

By accessing or using ReflexDB.cloud (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms, and "you" refers to that entity.

We may update these Terms from time to time. Continued use of the Service after any change constitutes your acceptance of the updated Terms. We will notify you of material changes via email or a prominent notice within the Service.

2. Description of Service

ReflexDB.cloud provides a managed reactive database engine that continuously synchronises data from your source databases (MySQL, MariaDB, and PostgreSQL, with SQL Server planned) into a high-performance read replica ("ReflexDB instance"). The Service is offered as a software-as-a-service (SaaS) platform hosted in one or more regions as published on our website.

The Service includes a control plane API, a web dashboard, and optional real-time synchronisation features such as Change Data Capture (CDC) via MySQL binlog or PostgreSQL logical replication. Features available to you depend on your chosen subscription tier.

3. Eligibility and Account Registration

You must be at least 18 years old and capable of forming a legally binding contract to use the Service. If you are registering on behalf of a company, you warrant that you are authorised to do so.

You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at legal@reflexdb.cloud if you suspect any unauthorised access to your account.

We reserve the right to refuse registration, cancel accounts, or remove content at our sole discretion.

4. Free Tier and Paid Plans

We offer a no-cost Free tier and paid subscription plans (Pro, Teams, Business, and Enterprise), each with different resource limits, features, and SLA commitments. Details of each plan, including included compute units, instance size limits, and support levels, are published on our Pricing page and incorporated into these Terms by reference.

Free tier instances are subsidised and may be paused automatically after 2 consecutive days of inactivity. Free tier usage is subject to rate limiting at our discretion to protect shared infrastructure. We reserve the right to modify or discontinue the Free tier at any time with reasonable notice.

5. Billing, Payments, and Refunds

Paid plans are billed in advance on a monthly or annual basis (depending on the plan) via Stripe. All prices are exclusive of VAT. Local taxes (e.g. VAT, GST, sales tax) may apply at checkout depending on your jurisdiction.

You authorise us to charge your payment method on a recurring basis until you cancel your subscription. Failure to pay may result in suspension or termination of your account. All fees paid are non-refundable except as required by applicable law or as expressly stated in these Terms.

If you upgrade or downgrade your plan mid-cycle, any changes take effect at the start of the next billing period unless otherwise stated. Enterprise customers are billed under a separately negotiated annual contract.

6. Overage Charges and Unit Consumption

Each paid plan includes a fixed number of compute units per month. By default, auto-scaling is blocked once you reach your included unit limit ("hard cap"), and no overage is incurred. You may opt in to "burst scaling" via your account settings, which permits usage beyond your included units billed at the overage rate published on the Pricing page.

Overage charges are calculated at the end of each billing cycle and charged via Stripe Metered Billing. You are responsible for monitoring your unit consumption. We provide real-time consumption data in your dashboard and will email you at 80% and 100% of your included units.

7. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights.
  • Transmit or store any data that is illegal, harmful, or infringes intellectual property rights.
  • Attempt to gain unauthorised access to the Service or its underlying infrastructure.
  • Introduce malicious code, perform denial-of-service attacks, or disrupt the Service.
  • Reverse-engineer, decompile, or disassemble any part of the Service.
  • Resell or sublicense access to the Service without our prior written consent.
  • Use the Free tier for production workloads in a manner that abuses shared resources.

We reserve the right to suspend or terminate your account immediately for material violations of this policy without refund.

8. Intellectual Property Rights

ReflexDB.cloud and its licensors retain all intellectual property rights in the Service, including all software, logos, trademarks, and documentation. These Terms do not grant you any ownership rights in the Service. You are granted a limited, non-exclusive, non-transferable licence to access and use the Service solely as provided herein.

You retain all rights in the data you supply to or generate through the Service ("Customer Data"). You grant us a limited licence to process Customer Data solely for the purpose of providing the Service to you.

9. Data Ownership and Privacy

You own your Customer Data. We do not sell, rent, or share your Customer Data with third parties except as required to provide the Service (e.g., cloud infrastructure hosting) or as required by law.

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service you consent to our data practices as described in the Privacy Policy.

10. Confidentiality

Each party agrees to keep confidential any non-public information of the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure. This obligation does not apply to information that is or becomes publicly available through no fault of the receiving party, was already known to the receiving party, or must be disclosed by law.

We will not access your Customer Data except as necessary to provide the Service, respond to support requests, or investigate suspected violations of these Terms.

11. Service Level Agreement (SLA)

Uptime commitments vary by plan and are published on the Pricing page. SLA credits are your sole and exclusive remedy for uptime failures. Credits are applied to your next invoice and have no cash value.

SLA commitments do not apply to: (a) downtime caused by factors outside our reasonable control (including force majeure events or upstream infrastructure provider outages); (b) downtime resulting from your actions or third-party services; (c) Free tier instances; (d) planned maintenance windows communicated in advance.

12. Suspension and Termination

You may cancel your subscription at any time via the dashboard. Cancellation takes effect at the end of the current billing period. Upon cancellation, your instances will be deprovisioned and your data deleted in accordance with our data retention policy.

We may suspend your access immediately if: (a) you breach these Terms; (b) your payment fails and is not remedied within 7 days; or (c) we reasonably believe your account poses a security risk to the Service or other customers.

We may terminate these Terms and your access to the Service at any time with 30 days' written notice, or immediately for material breach. Upon termination, you will receive a prorated refund for any prepaid but unused subscription period, unless the termination is for cause.

13. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL REFLEXDB.CLOUD BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.

14. Indemnification

You agree to indemnify, defend, and hold harmless ReflexDB.cloud and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of: (a) your use of the Service; (b) your Customer Data; (c) your violation of these Terms; or (d) your violation of any third-party rights.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Ireland, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Ireland.

Before initiating formal proceedings, you agree to first attempt to resolve any dispute by contacting us at legal@reflexdb.cloud. We will endeavour to resolve disputes amicably within 30 days.

16. Changes to These Terms

We may revise these Terms from time to time. We will provide at least 14 days' notice of material changes via email to your registered address or via an in-app notification. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.

If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription before the effective date of the changes.
